These Terms of Use (the "Terms") govern access to and use of the getMax platform (the "Service"), published by Nexifi SASU, a simplified joint-stock company with capital of €500, registered with the RCS under number 88190103700013, with its registered office at 5 Avenue du Général de Gaulle, 94160 Saint-Mandé, France (the "Publisher").
getMax is a platform of AI-assisted marketing agents providing, among other things, content creation, SEO, campaign management and customer relationship management. Any use of the Service requires full acceptance of these Terms. Financial and subscription conditions are covered by separate Terms of Sale. The processing of personal data is described in the Privacy Policy and, for data processed on behalf of the Client, in the Data Processing Agreement.
Access to the Service requires the creation of an account. The User agrees to provide accurate information and keep it up to date. The User declares that they have the legal capacity to contract and are at least 18 years old, or have the authorization of their legal representative. Credentials are personal and confidential. The User is responsible for any activity carried out from their account and shall inform the Publisher without delay of any unauthorized use.
The Service provides access to agents and features including: site analysis, generation of editorial and visual content, SEO and GEO management, creation and delivery of advertising and email campaigns, CRM and prospecting, publishing on social networks, dashboards and third-party integrations. The Publisher may change, add or remove features to improve the Service, provided it does not substantially degrade the essential features of an ongoing subscription.
Some features rely on artificial intelligence systems. The User is informed that Generated Content may contain inaccuracies, errors or unsuitable elements and must be checked and validated by the User before any publication or sending; that the conversational assistant is an artificial intelligence system and not a human; and that the User remains solely responsible for their use of Generated Content, in particular its lawfulness, accuracy and respect for third-party rights. The Publisher implements the transparency measures required by applicable regulations, including the marking of generated content where technically feasible.
The User agrees to use the Service in accordance with laws and regulations. The following are prohibited: sending unsolicited communications in violation of applicable prospecting rules (see article 7); importing or distributing unlawful, defamatory, infringing, hateful content or content that harms privacy or third-party rights; any attempt to compromise the security or integrity of the Service, any circumvention of usage limits, any unauthorized access; using the Service to create misleading or fraudulent content, impersonate someone, or generate unlawful deepfakes; reselling or making the Service available to third parties without the Publisher's written authorization.
The User who uses the prospecting and emailing features is solely responsible for the lawfulness of their sends. In particular, they agree to have a valid legal basis to contact their recipients (prior consent for prospecting towards non-professional individuals; in a professional context, a subject directly related to the recipient's role and prior information), to clearly identify the sender and offer a simple means of unsubscribing in each communication, and to process unsubscribe and objection requests without delay. The Publisher provides compliance tools but is not responsible for the content or lawfulness of campaigns decided and triggered by the User.
The Service, its software components, brand and graphic elements are the property of the Publisher or its licensors. These Terms grant no ownership right over the Service. The User retains their rights over User Content and grants the Publisher a non-exclusive license, limited to operating and providing the Service, for the time necessary for such provision. Within the limits permitted by law and by the terms of the AI model providers, Generated Content is made available to the User for their use. The User is informed that similar content may be generated for other users and shall verify the absence of any infringement of third-party rights before any use.
The Publisher processes personal data in accordance with the GDPR. Where it acts as a data controller (account and Service management), processing is described in the Privacy Policy. Where it acts as a processor, for data the Client processes via the Service (leads, prospects, recipients), the conditions are set out in the Data Processing Agreement, which forms an integral part of the contract.
The Publisher uses reasonable means to ensure the availability of the Service. Interruptions may occur for maintenance, updates or in cases of force majeure. Any service levels and support are specified in the Terms of Sale or in a specific offer.
The Service is provided under a best-efforts obligation. The Publisher cannot be held liable for indirect damages, nor for the consequences of decisions taken by the User on the basis of Generated Content. Within the limits permitted by law, the Publisher's liability for the Service is limited under the conditions set out in the Terms of Sale. Nothing in these Terms limits the Publisher's liability in the event of gross negligence, wilful misconduct, personal injury, or where the law prohibits it.
In the event of a serious breach of these Terms, in particular unlawful use or a security threat, the Publisher may suspend or terminate access, after informing the User where possible. The User may at any time stop using the Service and delete their account from their space, subject to the financial conditions in force governed by the Terms of Sale.
The Publisher may amend the Terms to reflect legal, technical or Service developments. Users are informed of substantial changes by an appropriate means. Continued use after entry into force constitutes acceptance.
These Terms are governed by French law. In the event of a dispute, and after an attempt at amicable resolution, the competent courts are those of the Publisher's registered office, subject to applicable mandatory rules.
